AUREUS GROWTH PARTNERS PROGRAM PARTICIPATION AGREEMENT
This Agreement is between you (“Client”) and Aureus Growth Partners Pty Ltd ACN 686 063 507 trading as Aureus Growth Partners (“Aureus”, “we”, “us”, “our”). It sets out the terms on which you engage us to deliver the Profitable Marketing Machine (“Program”). By signing our proposal or paying your invoice, you agree to these terms.
1. Our Commitment
1.1 Service Delivery
We’ll deliver the components you’ve purchased—namely the 3-Funnel Buildout and/or ongoing Management & Optimisation services—exactly as outlined in your proposal.
1.2 Support & Reporting
You’ll get access to our team for strategy sessions, media-buying support, conversion optimisation, troubleshooting and monthly performance reports on CAC, LTV and ROAS.
2. Program Terms & Conditions
2.1 Acknowledgements
- We provide marketing strategy, funnel buildout, ad management and automation services—not financial, tax or legal advice.
- We do not guarantee specific revenue, ROI or number of leads. Marketing outcomes vary based on ad spend, market conditions and your engagement.
2.2 Confidentiality & Intellectual Property
- All materials we create—funnels, copy, SOPs, automations—are for your internal use only.
- You may not reproduce, distribute or share our proprietary work without our written consent.
- We retain ownership of all underlying methodologies and intellectual property.
2.3 Fees & Payment Terms
- 3-Funnel Buildout
- Standard price: $5,000 + GST per funnel or $10,000 + GST for all three.
- Early-bird (first five clients): $2,500 + GST per funnel or $5,000 + GST for all three.
- Ongoing Management & Optimisation: $3,000 + GST per month, payable monthly in advance.
- Minimum Ad Spend: You agree to a minimum $5,000 + GST per month directly with ad platforms.
- Payment: Full payment of build-out fees is due before work begins. Management fees are charged monthly in advance. We accept credit card or bank transfer.
- Late Payment: Services may be suspended if invoices aren’t paid on time.
3. Cancellation & Refund Policy
- Non-Refundable: All fees are non-refundable once paid, except as required under Australian Consumer Law.
- Early Termination: We require 30 days written notice to cancel. If you cancel early, you remain liable for all fees due for the remainder of the agreed term.
4. Obligations
Agency Obligations
We commit to providing you with:
Upfront
- Customer research and competitor analysis.
- Paid advertising campaigns set-up – including campaign structure, audiences, pixels, etc.
- Graphics and creatives.
- Compelling professional copywriting for all ads, pages, emails, and offers.
- CRM (GoHighLevel) complete set up.
- Email and SMS follow-up sequences.
- Landing page creation, testing, and management.
- Technical integration of all marketing assets.
- Quality Control
Ongoing
- Paid advertising ongoing management – including creative split testing, audience testing, consulting with support etc.
- CRM (GoHighLevel) optimisations – including marketing emails and SMS sequences.
- Landing page management – incl. split testing and optimisations.
- Reporting of results, with plan on action moving forward.
Client Obligations
To make this system work, you must:
- Provide Content: Deliver at least five videos per week (or other agreed assets) on time. Please note, we are able to do basic (yet effective) edits, however longer form content (above 5 minutes) that need large amounts of editing may incur a fee.
- Maintain Ad Spend: Keep the agreed minimum ad spend directly with Facebook, Google, LinkedIn, etc.
- Attend Sessions: Join scheduled strategy calls and approve deliverables within 48 hours.
- Comply: Follow all platform policies, laws and professional standards.
Failure to meet these obligations may delay or suspend our work—and won’t be grounds for refund.
5. Disclaimer of Results
Marketing is never a sure thing. You acknowledge that results depend on factors outside our control—your niche, market conditions, landing page quality, ad platform changes and your own follow-through.
6. Conduct & Professionalism
- We expect respectful, professional communication. Abusive or disruptive behaviour may result in immediate termination of services (without refund).
- We may anonymise and use non-identifiable data from your project for our own training and marketing.
7. Legal & Consumer Rights
- This Agreement is subject to the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law. Nothing in this Agreement limits your non-excludable rights under those laws.
8. Governing Law & Dispute Resolution
- Law: New South Wales, Australia.
- Disputes: We’ll try to resolve any disagreements in good faith. If we can’t, we agree to mediate before taking legal action.
